Introduction
These Terms & Conditions apply to ENVOCS Studio services, proposals, quotations, projects, retainers, digital work, and related client engagements unless a separate written agreement states otherwise.
By approving a quotation, making a payment, providing project materials, or continuing to work with ENVOCS Studio, the client agrees to these terms for the relevant engagement.
Services Provided
ENVOCS Studio provides creative and digital services including video production, photography, branding, websites, content production, digital marketing support, AI-assisted workflows, creative systems, and related consulting or execution work.
The exact services for each engagement are defined in the relevant quotation, proposal, invoice, message thread, project scope, or written confirmation.
Project Scope & Deliverables
Project scope, deliverables, timelines, formats, usage expectations, and service limits should be confirmed before production begins. Any material change may require an updated quotation or revised timeline.
Deliverables may include edited videos, photos, graphics, brand assets, website pages, content drafts, campaign materials, documentation, workflow setup, or other agreed outputs.
Quotations, Payments & Deposits
Quotations are based on the information available at the time they are prepared. A quotation may be adjusted if the project scope, deadline, production requirements, third-party costs, or client requests change.
ENVOCS Studio may require a deposit, milestone payment, or full payment before starting or releasing work. Payment schedules and due dates will be stated in the quotation, invoice, or written confirmation.
Client Responsibilities
The client is responsible for providing accurate information, timely feedback, necessary access, brand materials, project files, approvals, credentials, venue permissions, and any other resources required to complete the project.
The client must ensure they have the rights to use any materials, logos, photos, videos, music, copy, trademarks, account credentials, or data they provide to ENVOCS Studio.
Revisions & Approval
Reasonable revision rounds may be included if stated in the project scope. Revisions should relate to the agreed scope and should be consolidated clearly to reduce delays and confusion.
Additional revisions, major direction changes, new deliverables, or changes requested after approval may be charged separately and may extend the timeline.
Timeline & Delays
Project timelines depend on timely client input, availability, production requirements, third-party platforms, and the complexity of the requested work. Estimated timelines are not guarantees unless expressly stated in writing.
ENVOCS Studio is not responsible for delays caused by late feedback, missing materials, venue restrictions, platform issues, third-party providers, force majeure events, or changes requested by the client.
Cancellations & Refunds
If a client cancels a project after confirmation, any deposit or payment may be used to cover time reserved, planning, production preparation, work already completed, administrative time, and non-refundable third-party costs.
Refunds, if any, are assessed based on the project stage, costs incurred, deliverables completed, and the written terms of the relevant quotation or invoice.
Intellectual Property & Usage Rights
Unless otherwise agreed, final paid deliverables may be used by the client for the purposes described in the project scope after full payment is received.
Raw files, working files, source project files, presets, internal templates, strategy documents, system architecture, production methods, and unpublished concepts remain the property of ENVOCS Studio unless specifically included in the agreed deliverables.
Portfolio & Promotional Use
ENVOCS Studio may reference completed work, project names, final deliverables, behind-the-scenes materials, and public-facing results in portfolios, social media, case studies, proposals, and promotional materials unless confidentiality has been agreed in writing.
If a project is confidential, embargoed, or sensitive, the client should notify ENVOCS Studio before the project begins or before materials are published.
Third-Party Tools, Platforms & Fees
Projects may require third-party tools, platforms, licenses, fonts, music, plugins, stock assets, cloud storage, hosting, domains, analytics, software subscriptions, payment platforms, or AI tools.
Unless included in the quotation, third-party costs are the responsibility of the client. ENVOCS Studio is not responsible for third-party platform outages, policy changes, account restrictions, price changes, or service limitations.
Website, Hosting & Digital Services
For website and digital service work, the client is responsible for maintaining account ownership, hosting access, domain access, payment methods, backups, platform renewals, legal page review, and ongoing maintenance unless a support arrangement is agreed.
ENVOCS Studio may assist with setup, design, development, migration, and configuration, but long-term platform availability and security also depend on the client, hosting provider, plugins, third-party services, and maintenance practices.
AI-Assisted Workflows
ENVOCS Studio may use AI-assisted tools to support research, ideation, editing, drafting, production planning, workflow automation, image or video processing, content structuring, and operational efficiency.
AI-assisted outputs may require human review, editing, verification, and client approval. The client remains responsible for reviewing final deliverables for factual accuracy, compliance, brand suitability, and business use.
Confidentiality
ENVOCS Studio will take reasonable steps to protect confidential client information shared for a project. Confidentiality obligations apply to non-public business information, private files, credentials, internal documents, and sensitive project materials.
Confidentiality does not apply to information that is already public, independently developed, lawfully obtained from another source, or required to be disclosed by law or a competent authority.
Limitation of Liability
To the maximum extent permitted by applicable law, ENVOCS Studio is not liable for indirect, incidental, special, consequential, or punitive losses, including loss of profits, lost revenue, loss of data, business interruption, platform downtime, or reputational loss.
ENVOCS Studio liability for a project is limited to the amount paid by the client for the specific service giving rise to the claim, unless a different limit is required by applicable law.
Indemnity
The client agrees to indemnify and hold ENVOCS Studio harmless from claims, losses, damages, liabilities, costs, or expenses arising from client-provided materials, unlawful instructions, rights violations, inaccurate information, third-party claims, or misuse of deliverables.
Termination
Either party may terminate a project if the other party materially breaches the agreed scope, payment obligations, timeline responsibilities, or these terms and does not resolve the issue within a reasonable time after notice.
Upon termination, the client remains responsible for payment for completed work, committed costs, reserved time, and approved expenses up to the termination date.
Governing Law
These terms are governed by the laws of Malaysia. The parties should attempt to resolve disputes in good faith before pursuing formal legal remedies.
Updates to These Terms
ENVOCS Studio may update these terms from time to time to reflect service changes, operational updates, legal requirements, or business improvements. The latest version published on this page applies unless a separate written agreement states otherwise.
